Terms of Service

These Terms of Service ("Terms") govern your access to and use of Notevibes services. Please read these Terms carefully before using our platform.

1. Definitions

"Notevibes" refers to Notevibes Inc., and its directors, officers, employees, agents, and affiliates.

"You" or "Your" refers to any user of the Service.

"Service" refers to the AI-powered note-taking, content management, and related offerings provided by Notevibes, including but not limited to data processing, content generation, storage, and analysis tools.

"User Content" refers to any content you provide, upload, submit, or generate through the Service, including notes, documents, recordings, and other materials.

2. Agreement to Terms

By accessing or using Notevibes, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this service.

Your continued use of our platform constitutes ongoing acceptance of these Terms, which may be updated from time to time. These Terms supersede any prior agreements or understandings related to the Service.

3. Eligibility

You represent and warrant that you are at least 18 years of age. If you are under 18, you may only use the Service with the supervision and consent of a parent or legal guardian who agrees to be bound by these Terms.

4. Use License

Notevibes grants you a limited, non-exclusive, non-transferable license to use our platform for personal or business purposes in accordance with these Terms. Under this license you may not:

Prohibited Actions

  • Modify or copy proprietary code
  • Use materials for unauthorized commercial purposes
  • Attempt to decompile or reverse engineer any software
  • Remove any copyright or proprietary notices
  • Transfer materials to unauthorized parties

Permitted Uses

  • Access and use available features
  • Store and process personal data
  • Generate and manage content
  • Integrate with authorized third-party services
  • Create backups of your own content

This license will terminate automatically if you violate any of these restrictions and may be terminated by Notevibes at any time.

5. Billing and Subscription

Subscription Model

Notevibes operates on a subscription-based billing model. Each subscription plan provides time-based access to the Service (monthly or yearly) along with a included credit allowance. Credits are consumed when you use features such as AI text-to-speech generation, voice agent minutes, and other AI-powered services.

Credits and Usage

Your subscription includes a fixed number of credits and/or minutes per billing period. Credits are used for AI text-to-speech generation, and minutes are used for voice agent interactions. Unused credits or minutes do not roll over to the next billing period unless explicitly stated in your plan. Once your included credits or minutes are exhausted, additional usage may require purchasing a credit pack or upgrading your plan.

Payments and Renewals

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You authorize Notevibes to charge your payment method on file for recurring subscription fees. All fees are non-refundable except as required by applicable law or as explicitly stated in these Terms.

Price Changes

Notevibes reserves the right to modify subscription pricing. We will notify you of any price changes at least 30 days before they take effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

6. Prohibited Uses

You agree not to use the Service:

  • For any unlawful purpose or activity
  • To infringe upon intellectual property rights
  • To harass, threaten, defame, or abuse others
  • To distribute spam or unauthorized advertising
  • To transmit viruses, malware, or harmful code
  • To disrupt or interfere with Service operation
  • To collect personal information without consent
  • To attempt unauthorized access to systems
  • To violate any applicable laws or regulations
  • To impersonate any person or entity

Notevibes reserves the right to limit usage or take other actions as necessary to prevent unlawful or abusive activities.

7. User Content

Your Rights and Responsibilities

You are solely responsible for any User Content you provide, upload, or generate through the Service. You retain ownership of your User Content, but grant us certain rights as described below.

License Grant

By submitting User Content, you grant Notevibes a worldwide, non-exclusive, royalty-free license to use, store, reproduce, modify, and process such User Content as necessary to operate and improve the Service. This license terminates when you delete your User Content or close your account.

Content Warranties

You represent and warrant that your User Content and your use of it in connection with the Service does not violate any applicable law or infringe upon any third party's rights.

8. User Account

Account Creation

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Notevibes immediately of any unauthorized use of your account or any other breach of security.

Account Termination

Notevibes reserves the right to suspend or terminate your account and access to the Service for violations of these Terms or for any other reason at our discretion. Upon termination, you may lose access to User Content and other information associated with your account.

9. Commercial Use and Plan Compliance

Plan Restrictions

Certain subscription plans, including the Personal plan, are designated for personal, non-commercial use only. "Commercial use" includes, but is not limited to, using generated content for business operations, marketing, advertising, client deliverables, monetized content, products or services offered for sale, or any other revenue-generating activity.

Commercial Use Enforcement

If Notevibes determines, at its sole discretion, that you are using a non-commercial plan (such as the Personal plan) for commercial purposes, Notevibes reserves the right to:

  • Retroactively charge the difference between your current plan and the applicable commercial plan (Pro plan) for the entire period of commercial use
  • Automatically upgrade your subscription to the appropriate commercial plan
  • Suspend or terminate your account if commercial fees remain unpaid
  • Invoice you for any outstanding amounts owed

Your Obligation

You are responsible for ensuring that your subscription plan matches your intended use. If your use case changes from personal to commercial, you must upgrade to a commercial plan (Pro or Organization) before using generated content commercially. Failure to do so constitutes a violation of these Terms.

10. Ownership and Proprietary Rights

All software, code, systems, methods, designs, text, graphics, images, and other materials provided through the Service (collectively, "Materials") are the property of Notevibes or its licensors and are protected by intellectual property and other laws. Except as expressly authorized, you may not reproduce, modify, distribute, sell, or create derivative works from any part of the Service or the Materials.

11. Privacy Policy

Your use of Notevibes is also governed by our Privacy Policy. Please review our Privacy Policy, which also governs the Site and informs users of our data collection practices.

We take data protection and privacy seriously and have implemented measures to safeguard your information in compliance with global privacy regulations.

12. Feedback

If you provide suggestions, feedback, or improvements ("Feedback") to Notevibes, you hereby grant Notevibes the right to use such Feedback without restriction or compensation to you.

13. Indemnification

You agree to fully indemnify, defend, and hold harmless Notevibes and its affiliates from any claims, damages, liabilities, losses, investigations, inquiries, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms or any applicable law
  • Your violation of any rights of a third party
  • Any allegation that your User Content violated any laws or third-party rights

Notevibes reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you must indemnify us. You agree to cooperate in our defense of such claims.

14. Disclaimer

The materials on Notevibes are provided on an 'as is' basis. Notevibes makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation:

  • Implied warranties or conditions of merchantability
  • Fitness for a particular purpose
  • Non-infringement of intellectual property or other violation of rights
  • Accuracy, reliability, or completeness of the content
  • Uninterrupted, secure, error-free, or virus-free operation

15. Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTEVIBES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, OR DATA) ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL NOTEVIBES'S TOTAL LIABILITY EXCEED ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID TO NOTEVIBES IN THE TWELVE MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

Some jurisdictions do not allow limitations on implied warranties or limitations of liability for incidental damages, so these limitations may not apply to you.

16. Governing Law

Jurisdiction

These terms and conditions are governed by and construed in accordance with the laws of the State of California, USA, and any dispute relating to these terms shall be subject to the exclusive jurisdiction of the courts located in San Francisco County, California.

Dispute Resolution

Any disputes arising out of or related to these Terms shall first be attempted to be resolved through informal negotiation. If a dispute cannot be resolved informally, the parties agree to binding arbitration under the rules of the American Arbitration Association.

17. Changes to Terms

Notevibes reserves the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

Notification of Changes

We will notify users of material changes to these Terms through:

  • Email notifications to the address associated with your account
  • Prominent notice on our website
  • In-app notifications when you log in to the service

18. Severability

If any provision of these Terms is found unenforceable, that provision will be severed, and the remainder of these Terms shall remain in full force and effect.

19. Assignment

Notevibes may assign or transfer its rights and obligations under these Terms without restriction. You may not assign or transfer your rights or obligations without Notevibes's prior written consent.

20. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Notevibes regarding the use of the Service. They supersede all prior agreements, understandings, and communications, whether written or oral.
